Submissions through the contact form on this Website are enquiries only. No engagement is formed, and no duty of confidentiality specific to a legal matter arises, until a formal engagement letter has been signed by both parties.
4. Service Description
Khao Counsel provides specialist construction law advisory services in Thailand. The three primary service levels described on this Website — contract review, project counsel through the construction phase, and multi-year programme counsel — are available to developers, contractors, sub-contractors, and project management entities operating in the Thai construction market.
The scope and fee for each engagement are set out in a written engagement letter. The terms of any engagement are governed by that letter and by Thai law. These Terms and Conditions govern the use of this Website only.

7. Fees and Payment
The starting fees shown on this Website (฿4,600 for a contract review, ฿24,400 for a project counsel engagement, and ฿39,000 for a multi-year programme) are indicative entry figures. The final fee for each engagement is agreed in writing before substantive work begins.
All fees are quoted and payable in Thai Baht unless otherwise agreed in writing. Payment terms are set out in the relevant engagement letter. Standard payment terms are net 14 days from invoice.
Fees paid for a completed contract review are non-refundable once the written commentary has been delivered. Fees for ongoing engagements are subject to the termination provisions of the engagement letter.
8. Service-Specific Terms
The following terms apply to our legal services engagements:
- Scope: The scope of each engagement is defined in the engagement letter. Work outside that scope will be discussed with the client before it is undertaken.
- Timelines: Indicative timescales given at enquiry stage are not binding. Binding delivery terms are set in the engagement letter.
- Confidentiality: Information shared in the context of a legal engagement is treated as confidential under Thai professional rules and the terms of the engagement letter.
- Conflict checks: All enquiries are subject to a conflict of interest check before an engagement is accepted.
9. Disclaimers
This Website and its Content are provided on an "as is" basis. We make no representations as to the accuracy, completeness, or currency of the Content. Legal positions change, and Content on this Website may not reflect the most recent developments in Thai law or international construction practice.
We do not accept responsibility for decisions made in reliance on Content from this Website without obtaining specific written advice from us under a formal engagement.
10. Limitation of Liability

11. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages (including reasonable legal costs) arising from your use of this Website in breach of these Terms, or from information you have provided that is false or misleading.
12. Termination of Website Access
We reserve the right to suspend or terminate access to this Website at any time without notice. We also reserve the right to remove or amend Content at any time.
Termination of a formal legal engagement is governed by the relevant engagement letter.
13. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Thailand. Any dispute arising from the use of this Website that cannot be resolved informally will be subject to the exclusive jurisdiction of the Thai courts in Bangkok.
Disputes arising under a legal services engagement are governed by the dispute resolution provisions of the relevant engagement letter, which may include mediation or arbitration.
14. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us in relation to the use of this Website.
- Severability: If any provision of these Terms is found to be unenforceable, that provision will be severed and the remaining provisions will continue in full force.
- Waiver: Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce it on any future occasion.
- No assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
